Terms of Cooperation
Transparent standards, flexible approach to every project
We operate on established standards yet remain open to individual terms. With equipment manufacturers and major end customers we always find a mutually beneficial way to cooperate — that is the foundation of long-term relationships and a guarantee that terms match the actual logic of the project.
How we work
- 1
Customer request
Technical requirements, specification, catalogue, competitor photo — we accept input in any form.
- 2
Engineering
When needed, we select components of a complex solution from different manufacturers, optimise them by quality, purchase price and total cost of ownership, and ensure they fit together as a system.
- 3
Selection & quotation
We request offers from factories, consolidate them and prepare a technical-commercial proposal with firm pricing and lead times.
- 4
Alignment
We refine specifications, incorporate changes, lock the final configuration and price.
- 5
Contract & first payment
Contract signing, invoice, first instalment.
- 6
Production
Monitored by our partner in China — progress reports and milestone verification.
- 7
Pre-shipment inspection
Standard procedure for new supplies — physical QC before the factory rhythm is established.
- 8
Logistics
Shipment, customs clearance, EAEU certification, delivery to the customer’s door.
- 9
Acceptance & final payment
Acceptance certificate, closing documents, final instalment.
- 10
Author supervision & supervised installation
For key projects we provide author supervision in-house and supervised installation. Commissioning is performed by our trusted authorised partners.
Delivery terms (Incoterms)
Default basis — DDP (Delivered Duty Paid).
We take care of everything: production, logistics, EAEU certification, customs clearance and delivery to the customer’s door. The customer receives ready-to-use equipment at their site.
Other bases — EXW, FCA, FOB, CIF, DAP — are available on request. We agree the optimal variant for the specific project and the customer’s logistics flow.
Production lead time
4–16 weeks depending on specification and manufacturer. The exact lead time is fixed in the quotation and locked in the contract.
For priority projects and serial supplies, lead-time terms are discussed separately.
Logistics China — Russia
Default mode — road transport.
- Flexible scheduling and fast reaction to changes
- Oversized cargo without transhipment
- Actual lead times better than rail and significantly better than sea freight
Rail, sea and air freight are available on request, tailored to the project logic.
Payment terms
Standard payment schedule:
Contract currency — CNY. Payments are settled in RUB at the Central Bank of Russia rate on the payment date.
Alternative schemes — including letters of credit and bank guarantees — are discussed individually for each project.
Warranty & service
Standard warranty — 12 months from commissioning, but no more than 18 months from delivery.
For project and serial supplies the warranty can be extended to 24–36 months by agreement with the manufacturer.
Genuine spare parts from our partners’ warehouses in China and service support remain available after the warranty period as well.
Geography
Regular supplies: Russia, Kazakhstan, Belarus.
Open to partnerships in new regions. The SDS team has extensive international project experience: through SFPORTEQ (spreader manufacturer co-owned by the SDS founder) we have delivered to South Korea, China, the Philippines, the Netherlands, the USA, Malaysia, Singapore, Sri Lanka, Portugal and other countries.
With manufacturers and major end customers we always find a mutually beneficial way to cooperate. Standard terms are a starting point for the conversation, not a rigid frame.
